PRACTICAL FRAMEWORK

Executive Perspectives & Ground Reality

Literal Meaning

An eligible infrastructure investment under the applicable InvIT Regulations and infrastructure-sector definitions. Whether held directly or through HoldCo/SPVs, the required ownership, control, permitted activities and concession conditions must be assessed together.

Plain Language

The physical infrastructure that makes up the trust: national highways, state toll roads, hybrid annuity projects, interstate electricity grids, solar and wind power plants, telecommunication towers, crude and gas pipelines, and warehousing parks.

Picture It

A 150 MW solar park in Rajasthan with 300,000 panels generating clean electricity under a 25-year contract with SECI. The solar park is an InvIT Asset: it is operational, unencumbered, and earns revenue every sunny day.

See the Numbers

SEBI requires at least 80% of aggregate InvIT asset value to be invested in completed, revenue-earning assets. If the trust assets total ₹4,000 Cr, at least ₹3,200 Cr must be operating; under-construction assets cannot exceed ₹800 Cr.

Ground Reality

Assets must be legally unencumbered. Concession authority approvals (such as NHAI or Ministry of Power NOCs) are mandatory before an asset can be transferred into the trust.

Decision View

Carefully select which assets to transfer to ensure the combined portfolio delivers high cash stability and low regulatory friction.
